1. Acceptance of Terms
These Terms of Service (“Terms”) are a legally binding agreement between you, whether individually or on behalf of an entity, and InterBridge Linguistic Services LLC (“InterBridge,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the InterBridge Platform and Services.
The Platform includes the InterBridge Mobile Application, secure web-based services, website, and related technology used to request, manage, provide, and support interpretation, translation, billing, and related language services.
By registering for an account, downloading or using the Mobile Application, accessing the Web Portal, or otherwise using the Services, you agree to these Terms. If you do not agree, you must not use the Platform or Services.
2. Eligibility
The Platform is intended for professional, business, and enterprise use. By using the Platform, you represent and warrant that:
- You are at least 18 years old and have the legal capacity to enter into these Terms.
- If you act on behalf of an Organization, you have authority to bind that Organization to these Terms.
- Your use of the Platform complies with applicable local, state, federal, and international laws and regulations.
3. Platform Structure and InterBridge’s Role
InterBridge is a professional language service provider, not a marketplace or directory. Organizations obtain interpretation and translation Services directly from InterBridge. InterBridge may assign qualified Interpreters to fulfill service requests.
- Organization Users: Authorized Organization users may use the Mobile Application or other authorized Platform features to request services, upload materials, initiate voice or video sessions, manage billing, and administer their Organization account.
- Interpreters: Authorized Interpreters may use the Web Portal and, where made available by InterBridge, mobile features related to assignments, service delivery, and notifications.
4. Accounts and Security
Some Platform features require an account. You agree to provide accurate, current, and complete information and to keep it updated.
- Account Credentials: You are responsible for safeguarding your account credentials, passwords, registration codes, and devices used to access the Platform.
- Unauthorized Access: You must notify InterBridge promptly if you suspect unauthorized access to your account.
- Account Activity: You are responsible for activity performed through your account to the extent permitted by applicable law.
5. Organization Responsibilities
- Lawful Use: Organizations and authorized users must use the Platform in compliance with applicable healthcare privacy, telecommunications, data-protection, and other laws.
- Telephone Services: When requesting calls to external patients or other third parties, the Organization represents that it has obtained all required permissions, consents, and authorizations to contact the entered phone number.
- Uploaded Materials: Organizations are responsible for the legality, accuracy, and appropriateness of documents, images, audio, PDFs, text, and other materials submitted for translation or related Services.
- Patient Care: Organizations and their healthcare professionals remain responsible for all patient-care decisions, clinical judgment, and compliance obligations applicable to their use of the Services.
6. Interpreter Responsibilities
- Professional Conduct: Interpreters must provide Services professionally, accurately, ethically, and in accordance with applicable standards and InterBridge requirements.
- Credentials: Interpreters must maintain accurate profile information and current credentials, certifications, and identification documents where required.
- Confidentiality: Interpreters must protect confidential, personal, and patient information accessed through the Platform.
- Platform Use: Interpreters may not use the Platform to bypass InterBridge or directly solicit Organizations for services outside the InterBridge relationship.
7. Assessment Rules and Integrity
InterBridge may require Interpreters to complete language, medical-terminology, qualification, or other assessments.
- Integrity Measures: We may use reasonable technical measures to protect assessment integrity, including browser characteristics, session timestamps, time spent, browser events, tab-switching events, clipboard activity where applicable, and keyboard events related to prohibited conduct.
- Prohibited Conduct: Attempting to cheat, copy assessment materials, manipulate results, or bypass integrity measures is prohibited and may result in suspension or termination of Platform access.
8. Billing and Payments
Organizations are responsible for all fees associated with their use of Services and must maintain a valid payment method when required.
- Payment Processing: Payments are processed through Stripe. InterBridge does not store complete payment-card numbers.
- Subscriptions: Subscription fees are billed on the schedule presented during checkout or in the applicable agreement. Subscription changes or cancellations must be made through the available billing process or by contacting InterBridge support.
- Pay-As-You-Go and Wallet Billing: Where available, charges are based on actual use of interpretation, translation, or related Services at the applicable agreed rate.
- Taxes: Organizations are responsible for applicable taxes, levies, duties, and governmental charges, excluding taxes based on InterBridge’s net income.
9. Refunds and Billing Disputes
Unless a separate written enterprise agreement states otherwise, fees paid for Services are non-refundable except where required by applicable law.
- Billing Errors: If an Organization believes it was billed in error, it must contact info@interbridge-ling.com within thirty (30) days of the invoice date and provide reasonable details of the dispute.
- Service Credits: InterBridge may review requests for refunds or credits relating to verified service interruptions or billing errors on a case-by-case basis, subject to applicable law and any separate written enterprise agreement.
10. Acceptable Use and Prohibited Conduct
You may not use the Platform in an unlawful, harmful, abusive, fraudulent, or disruptive manner. You may not:
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform except where prohibited by applicable law.
- Transmit malware, viruses, or harmful code.
- Attempt to bypass, exploit, disable, or interfere with Platform security or access controls.
- Harass, abuse, defame, threaten, or violate the rights of any person.
- Scrape, spider, or use automated tools to extract Platform data without written authorization.
- Use the Platform to violate patient confidentiality, privacy rights, telecommunications laws, or other applicable laws.
11. Intellectual Property
The Platform, including its software, workflows, interfaces, branding, logos, content, and related intellectual property, is owned by InterBridge or its licensors. Subject to these Terms, InterBridge grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for its intended business purpose.
12. Confidentiality
Users may access confidential, proprietary, personal, or sensitive information belonging to InterBridge, Organizations, healthcare entities, patients, or other users. You must protect that information, use it only to receive or provide Services, and not disclose it to unauthorized persons.
13. Availability and Maintenance
We aim to maintain Platform availability but do not guarantee uninterrupted or error-free operation. The Platform may be unavailable because of maintenance, updates, third-party service interruptions, security events, or circumstances outside our reasonable control.
14. No Medical Advice
Important: InterBridge provides language and technology services. InterBridge and its Interpreters do not provide medical advice, diagnoses, treatment recommendations, or clinical consulting. The Platform is not a substitute for the professional judgment of qualified healthcare providers. Organizations and their authorized healthcare professionals remain responsible for medical decisions, patient care, and clinical outcomes.
15. Security and Compliance
InterBridge uses administrative, technical, and organizational measures designed to protect information and support healthcare communication. No system can guarantee absolute security. Organizations and users remain responsible for their own legal and regulatory obligations in connection with their use of the Platform.
Nothing in these Terms is intended to replace a separate written agreement that may be required between InterBridge and an Organization, including any applicable data-processing, privacy, security, or business-associate agreement.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTERBRIDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTERBRIDGE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR SERVICES WILL NOT EXCEED THE AMOUNT PAID TO INTERBRIDGE BY THE CLAIMING USER OR ORGANIZATION FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
17. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless InterBridge and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:
- Your use of the Platform or Services.
- Your violation of these Terms.
- Your violation of another person’s rights, including privacy, confidentiality, or intellectual-property rights.
- Your failure to obtain required consents before initiating telephone communications through the Platform.
18. Suspension and Termination
InterBridge may suspend, restrict, or terminate access to the Platform when reasonably necessary, including for a breach of these Terms or the Privacy Policy, nonpayment, suspected fraud or abuse, unlawful conduct, security concerns, or assessment-integrity violations.
Upon termination, your right to use the Platform ends. Provisions that by their nature should survive termination, including provisions concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, will survive.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any action arising out of or relating to these Terms or the Platform must be brought in the state or federal courts located in that state, and you consent to the jurisdiction and venue of those courts.
20. Force Majeure
InterBridge will not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet or telecommunications outages, power failures, labor disputes, civil unrest, war, governmental actions, court orders, or other force-majeure events.
21. Entire Agreement
These Terms, the Privacy Policy, and any applicable written enterprise agreement constitute the entire agreement between you and InterBridge regarding the Platform and Services. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. A waiver of any provision is effective only if made in writing by InterBridge.
