1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether an individual or representing an entity) and InterBridge Linguistic Services LLC (“InterBridge,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the InterBridge technology ecosystem, which includes our Mobile Application for Organizations, our Web Portal for Interpreters, our website, and all associated services (collectively, the “Platform” or “Services”).
By registering for an account, downloading our Mobile Application, accessing the Web Portal, or otherwise utilizing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
2. Eligibility
The Platform is intended strictly for professional, business, and enterprise use. By accessing the Platform, you represent and warrant that:
- You are at least 18 years of age and possess the legal capacity to enter into a binding contract.
- If you are registering on behalf of a healthcare facility, corporation, or other organizational entity, you possess the requisite authority to bind that entity to these Terms.
- Your use of the Platform does not violate any applicable local, state, national, or international laws or regulations.
3. Platform Structure and InterBridge’s Role
InterBridge is a professional language service provider, not a marketplace or directory. We do not merely connect independent parties; rather, Organizations purchase interpretation and translation services directly from InterBridge, and InterBridge is responsible for assigning qualified Interpreters to fulfill those requests.
- The Mobile Application: Provided exclusively for our customers (“Organizations”) and their authorized users to request services, upload documents, initiate voice/video sessions, and manage billing.
- The Web Portal: Provided exclusively for our contracted or employed linguistic professionals (“Interpreters”) to deliver services, manage their credentials, complete assessments, and handle assigned requests.
4. Accounts and Security
To access the core functionalities of the Platform, you must register for an account.
- Accuracy of Information: You agree to provide true, accurate, current, and complete information during the registration process and to maintain the accuracy of this information.
- Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and registration codes. You agree to notify InterBridge immediately of any unauthorized access to or use of your account.
- Account Activity: You are fully responsible for all activities that occur under your account. InterBridge shall not be liable for any loss or damage arising from your failure to safeguard your credentials.
5. Organization Responsibilities
Organizations and their authorized users utilizing the Mobile Application agree to the following specific responsibilities:
- Lawful Use: Organizations must use the Platform in strict compliance with all applicable laws, including but not limited to healthcare privacy laws, telecommunications regulations, and data protection statutes.
- Telephone Services (Twilio): When utilizing the Platform to initiate outbound calls to external patients or third parties, the Organization represents and warrants that it has obtained all necessary consents and authorizations required by law to contact that individual at the manually entered phone number.
- Translation Materials: Organizations are solely responsible for the legality, accuracy, and appropriateness of any documents (PDFs, images, text, audio) uploaded for translation.
6. Interpreter Responsibilities
Interpreters utilizing the Web Portal agree to the following specific responsibilities:
- Professional Conduct: Interpreters must deliver services with the highest degree of professionalism, accuracy, and adherence to industry-standard codes of ethics.
- Credential Maintenance: Interpreters must maintain up-to-date certifications, identification documents, and accurate profile information within the Web Portal.
- Service Delivery: Interpreters must utilize the Web Portal exclusively for the delivery of InterBridge services and may not attempt to bypass the Platform to contract directly with Organizations.
7. Assessment Rules and Integrity
To maintain the highest caliber of language services, InterBridge requires Interpreters to complete mandatory language and medical terminology assessments.
- Integrity Monitoring: During assessments, the Web Portal employs technical measures designed to protect the integrity of the examination. You consent to the collection of environmental data, which may include browser characteristics, session timestamps, browser and keyboard events related to prohibited actions, clipboard activity, and tab switching events.
- Prohibited Assessment Conduct: Any attempt to manipulate, cheat, copy assessment materials, or bypass the technical integrity checks is strictly prohibited and will result in immediate termination of your account and permanent disqualification from the Platform. InterBridge relies on legally accurate, industry-standard monitoring and makes no claims to impossible or invasive device-level surveillance outside the immediate browser environment.
8. Billing and Payments
Organizations are required to maintain a valid payment method on file to utilize the Services.
- Payment Processor: All financial transactions are processed securely through Stripe. InterBridge does not store your complete payment card details. By submitting payment information, you authorize InterBridge and Stripe to charge your designated payment method for all applicable fees.
- Subscriptions: If an Organization elects a subscription plan, fees will be billed automatically on a recurring basis as outlined during the checkout process. Subscription changes or cancellations must be made in accordance with the billing portal settings.
- Pay As You Go: If an Organization elects a pay-as-you-go model, fees will be calculated based on actual consumption of interpretation and translation services and billed at the agreed-upon intervals.
- Taxes: Organizations are responsible for all applicable taxes, levies, or duties imposed by taxing authorities arising from the purchase of Services.
9. Refund Policy
Unless otherwise stipulated in a separate, mutually executed enterprise agreement, all fees paid to InterBridge are strictly non-refundable.
- Disputed Charges: If an Organization believes it has been billed in error, it must contact support at info@interbridge-ling.com within thirty (30) days of the invoice date.
- Service Interruptions: Refunds or credits for service interruptions or dissatisfaction with language services will be evaluated on a case-by-case basis at the sole and absolute discretion of InterBridge management. 10. Acceptable Use and Prohibited Conduct
You agree not to use the Platform in any manner that is unlawful, abusive, or disruptive. Specifically, you agree NOT to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Mobile Application, Web Portal, or any underlying technology (including Supabase, Agora, Twilio, or OneSignal integrations).
- Use the Platform to transmit malicious software, viruses, or harmful code.
- Attempt to bypass, exploit, or disable any security mechanisms or access controls implemented by InterBridge.
- Use the Platform to harass, abuse, defame, or otherwise violate the rights of any individual, including Interpreters or organizational staff.
- Scrape, spider, or utilize automated scripts to extract data from the Platform.
11. Intellectual Property
The Platform, including but not limited to the Mobile Application, Web Portal, underlying software, user interfaces, branding, logos, and proprietary workflows, are the exclusive property of InterBridge Linguistic Services LLC and its licensors. These Terms do not grant you any rights, title, or interest in or to the Platform’s intellectual property, except for the limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms.
12. Confidentiality
Both Organizations and Interpreters acknowledge that during the use of the Platform, they may have access to confidential, proprietary, or sensitive information belonging to InterBridge, healthcare entities, or patients. All users are strictly obligated to maintain the absolute confidentiality of such information, not to disclose it to any unauthorized third parties, and to use it solely for the purpose of receiving or providing the Services in accordance with these Terms.
13. Availability and Maintenance
InterBridge strives to ensure maximum uptime and availability of the Platform. However, we do not guarantee uninterrupted access. The Platform may occasionally be subject to scheduled maintenance, updates, or unforeseen technical disruptions. We will make reasonable efforts to notify Organizations of anticipated, significant downtime.
14. Disclaimer of Medical Advice
CRITICAL DISCLAIMER: InterBridge provides technological infrastructure and linguistic facilitation services. InterBridge does NOT provide medical advice, diagnoses, treatment recommendations, or clinical consulting. The Platform and the Interpreters facilitate communication; they are not a substitute for the professional judgment of qualified healthcare providers. Organizations and their authorized healthcare professionals retain complete and total responsibility for all medical decisions, patient care, and clinical outcomes.
15. Security and Compliance Disclaimer
InterBridge is designed with administrative, technical, and organizational safeguards intended to protect personal information and support healthcare communication. However, Organizations acknowledge that InterBridge does not guarantee absolute security against advanced cyber threats.
Furthermore, Organizations remain entirely and solely responsible for their own compliance with applicable laws governing their use of the Platform, including the Health Insurance Portability and Accountability Act (HIPAA), the General Data Protection Regulation (GDPR), and other regional data privacy regulations. InterBridge’s provision of secure infrastructure does not absolve the Organization of its regulatory obligations.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTERBRIDGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.
UNDER NO CIRCUMSTANCES WILL INTERBRIDGE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE PLATFORM OR YOUR ACCOUNT. IN NO EVENT SHALL INTERBRIDGE’S CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO INTERBRIDGE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless InterBridge, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys’ fees) arising from:
- Your use of and access to the Platform.
- Your violation of any term of these Terms of Service.
- Your violation of any third-party right, including without limitation any copyright, property, privacy right, or patient confidentiality right.
- Your failure to obtain necessary consents before initiating telephone communications via the Platform.
18. Suspension and Termination
InterBridge reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:
- A breach of these Terms or the Privacy Policy.
- Failure to pay applicable fees.
- Suspected fraudulent, abusive, or illegal activity.
- Violations of assessment integrity rules.
Upon termination, your right to use the Platform will immediately cease. Sections relating to Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Indemnification shall survive termination.
19. Governing Law
These Terms shall be governed by, construed, and enforced in accordance with the laws of the [State of Formation], United States, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to or use of the Platform shall be instituted in a state or federal court located within [State of Formation]. You and InterBridge agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
20. Force Majeure
InterBridge shall not be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, or orders of domestic or foreign courts or tribunals.
21. Entire Agreement
These Terms of Service, together with the Privacy Policy and any other legal notices or enterprise agreements published or executed by InterBridge, constitute the entire agreement between you and InterBridge concerning the Platform. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
